Terms of Service for ASAP Gate Services

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “Customer,” or “You”) and ASAP Gate Services (“ASAP Gate Services,” “Company,” “We,” “Us,” or “Our”), governing your access to and use of our gate repair, installation, and related services (collectively, the “Services”). By engaging with our Services, whether through scheduling an appointment, requesting a quote, making a payment, or otherwise utilizing our offerings, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.
ASAP Gate Services is dedicated to providing high-quality, reliable, and efficient gate solutions. These Terms are designed to ensure a clear understanding of the responsibilities and obligations between ASAP Gate Services and its valued clients. We encourage you to review these Terms carefully, as they contain important information regarding your legal rights and obligations.
1. Acceptance of Terms
Your engagement with ASAP Gate Services, including but not limited to requesting a service call, accepting a quote, making a deposit or full payment for Services, or allowing our technicians to commence work on your property, signifies your unequivocal acceptance of these Terms. This agreement becomes effective immediately upon the earliest of these actions. By accepting these Terms, you represent that you are at least 18 years of age and possess the legal capacity to enter into a binding agreement. If you are accepting these Terms on behalf of an organization or entity, you represent and warrant that you have the authority to bind such organization or entity to these Terms. Any terms or conditions proposed by the Client that are inconsistent with or in addition to these Terms are hereby rejected by ASAP Gate Services and shall not be binding upon the Company unless expressly agreed to in writing and signed by an authorized representative of ASAP Gate Services.
2. Services Provided
ASAP Gate Services specializes in a comprehensive range of gate-related services. These Services include, but are not limited to, the inspection, troubleshooting, repair, maintenance, and installation of various types of gates and access control systems. This encompasses automatic gates (swing gates, slide gates, roll-up gates), pedestrian gates, security gates, ornamental gates, custom gate fabrication, gate operators, remote controls, intercom systems, keypads, safety devices, and associated hardware and electrical components. Our qualified technicians will endeavor to provide efficient and professional service using appropriate tools and techniques. While we strive for excellence in all our undertakings, the exact scope of work for each service engagement will be detailed in the specific estimate or work order provided to the Client prior to the commencement of work.
ASAP Gate Services reserves the right to refuse service to anyone for any reason at any time, including but not limited to safety concerns, unreasonable demands, or if the requested service falls outside our area of expertise or operational capabilities. We are committed to diagnosing issues accurately and offering effective solutions; however, the final decision to proceed with a recommended repair or installation rests solely with the Client. We will inform the Client of any potential challenges or limitations identified during the service process.
3. Payment Terms
3.1. Pricing and Estimates
All prices for Services will be provided to the Client in the form of an estimate or quote before work commences. Estimates are based on the initial assessment of the work required and may be subject to change if additional issues are discovered during the course of the service. While we strive for accuracy, estimates are not binding fixed-price agreements unless explicitly stated otherwise in writing. Any changes to the scope of work or pricing will be communicated to the Client for approval before proceeding. The Client is responsible for all costs associated with the agreed-upon Services, including parts, labor, and any applicable taxes.
3.2. Deposits
For certain Services, particularly large-scale installations, custom fabrication, or projects requiring special-order parts, ASAP Gate Services may require an upfront deposit. The deposit amount will be specified in the estimate or work order and must be paid before the commencement of work or ordering of materials. Deposits are non-refundable unless otherwise specified in writing or if ASAP Gate Services is unable to perform the agreed-upon services due to its own fault. Cancellation by the Client after a deposit has been paid may result in forfeiture of the deposit to cover costs incurred by ASAP Gate Services, including but not limited to material procurement, administrative fees, and scheduling disruptions.
3.3. Invoicing and Payment Due Dates
Upon completion of the Services, or upon agreed-upon milestones for larger projects, an invoice will be issued to the Client. Payment for all Services is due upon receipt of the invoice, unless alternative payment terms have been expressly agreed upon in writing between ASAP Gate Services and the Client. For commercial clients with pre-approved credit, payment terms (e.g., Net 30 days) will be explicitly stated on the invoice.
3.4. Payment Methods
ASAP Gate Services accepts various forms of payment, including major credit cards (Visa, MasterCard, American Express, Discover), checks, and bank transfers. All payments must be made in U.S. Dollars. A returned check fee will be applied for any checks returned due to insufficient funds. The Client agrees to pay any additional fees charged by payment processors for transactions, if applicable.
3.5. Late Payments
In the event of late payment, ASAP Gate Services reserves the right to apply a late payment fee of 1.5% per month (or the maximum rate permitted by law, whichever is lower) on the outstanding balance, compounded monthly, from the due date until the date of full payment. The Client shall be responsible for all costs incurred by ASAP Gate Services in collecting past-due amounts, including but not limited to collection agency fees, legal fees, and court costs. Furthermore, ASAP Gate Services may, at its discretion, suspend any ongoing services or withhold further services until all outstanding balances are paid in full.
3.6. Refunds and Cancellations
Refunds are generally not provided for Services that have been completed and accepted by the Client. If the Client wishes to cancel a scheduled service, they must notify ASAP Gate Services as soon as possible. Depending on the timing of the cancellation and any costs incurred (e.g., dispatched technician, ordered parts), a cancellation fee may apply. Custom-ordered parts are typically non-refundable once the order has been placed with the supplier. Any refunds or credits will be issued at the sole discretion of ASAP Gate Services.
4. Service Warranties and Guarantees
4.1. Labor Warranty
ASAP Gate Services proudly stands behind the quality of its workmanship. We provide a limited warranty on labor for a period of thirty (30) days from the date of service completion. This labor warranty covers defects in workmanship directly related to the specific services performed by our technicians. If a problem arises within this warranty period that is directly attributable to faulty labor on our part, ASAP Gate Services will, at its sole discretion, re-perform the service or repair the defect at no additional labor cost to the Client. This warranty is non-transferable.
4.2. Parts Warranty
Parts and materials supplied and installed by ASAP Gate Services are subject to the manufacturer’s original warranty, if any. ASAP Gate Services will assist the Client in facilitating warranty claims with the manufacturer for defective parts, but we do not provide an independent warranty on parts beyond the manufacturer’s stated terms. The duration and terms of the manufacturer’s warranty vary by product. Any labor required to diagnose or replace a part under manufacturer’s warranty after our initial labor warranty period has expired will be charged at our standard rates.
4.3. Exclusions from Warranty
The warranties provided herein do not cover:
- Damage or defects resulting from misuse, abuse, neglect, vandalism, accidental damage, acts of nature (e.g., lightning strikes, floods, high winds), or power surges.
- Damage caused by unauthorized repairs, alterations, or modifications performed by anyone other than ASAP Gate Services technicians.
- Normal wear and tear of parts, including but not limited to batteries, remote controls, or other consumable items.
- Issues arising from pre-existing conditions or faults in the Client’s property or electrical system that were not part of the original service scope.
- Adjustments or minor maintenance items that are typically part of routine owner upkeep.
- Any damage to property or persons not directly resulting from the faulty labor of ASAP Gate Services.
To initiate a warranty claim, the Client must notify ASAP Gate Services in writing or by phone within the applicable warranty period, providing details of the issue and proof of original service.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASAP GATE SERVICES, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF ASAP GATE SERVICES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE OUR SERVICES OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY.
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF ASAP GATE SERVICES FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT TO ASAP GATE SERVICES FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY UNDER WHICH THE CLAIM IS BROUGHT. THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT.
ASAP Gate Services shall not be liable for any damage or delay caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials. The Client acknowledges and agrees that the pricing for Services reflects the allocation of risk set forth in these Terms, and that ASAP Gate Services would not be able to offer such services without these limitations on liability.
The Client is solely responsible for ensuring the property is free from hazards and for providing accurate information regarding the location of underground utilities (e.g., gas lines, water pipes, electrical conduits) before any digging or installation work commences. ASAP Gate Services assumes no liability for damage to unmarked or incorrectly marked underground utilities. It is the Client’s responsibility to contact 811 or their local utility notification center prior to any excavation work.
6. Intellectual Property
All content, designs, logos, trademarks, service marks, trade names, and other intellectual property displayed or used in connection with ASAP Gate Services’ website, marketing materials, and service delivery (collectively, “Intellectual Property”) are the sole property of ASAP Gate Services or its licensors. This Intellectual Property is protected by copyright, trademark, patent, and other intellectual property laws, both domestic and international. You are granted no license or right to use any of ASAP Gate Services’ Intellectual Property without our prior written consent. Any unauthorized use of our Intellectual Property is strictly prohibited and may violate applicable laws. All rights not expressly granted to you are reserved by ASAP Gate Services.
7. Privacy
Your privacy is important to us. ASAP Gate Services collects and processes personal information from Clients, such as names, addresses, phone numbers, email addresses, and payment information, solely for the purpose of providing and improving our Services, processing payments, communicating with Clients, and fulfilling our legal obligations. We are committed to protecting your personal data and handling it responsibly. We do not sell, rent, or trade your personal information to third parties for their marketing purposes. We may share your information with trusted third-party service providers who assist us in operating our business (e.g., payment processors, scheduling software) under strict confidentiality agreements. By using our Services, you consent to such processing and you warrant that all data provided by you is accurate.
8. General Provisions
8.1. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in California, and the Client hereby consents to the personal jurisdiction and venue therein.
8.2. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the remaining provisions of these Terms, which shall remain in full force and effect.
8.3. Entire Agreement
These Terms, together with any applicable work orders, estimates, or invoices, constitute the entire agreement between the Client and ASAP Gate Services concerning the subject matter hereof and supersede all prior or contemporaneous communications, understandings, and agreements, whether oral or written, between the parties.
8.4. Amendments
ASAP Gate Services reserves the right to modify or update these Terms at any time, at its sole discretion. Any changes will be effective immediately upon posting the revised Terms on our website or providing notice to the Client. Your continued use of our Services after any such modifications constitutes your acceptance of the revised Terms. We encourage you to periodically review these Terms to stay informed of our policies.
8.5. Waiver
No waiver of any provision of these Terms by ASAP Gate Services shall be deemed a further or continuing waiver of such provision or any other provision, and ASAP Gate Services’ failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
